Seeking Alpha may at times offer its existing paying subscribers (“Referrers”) the opportunity to refer friends and acquaintances (“Referees”) to subscribe to Seeking Alpha Premium (the “Referral Program”) through the use of a unique referral link (the “Referral Link”). For each successful referral meeting these terms and conditions (the “Referral Terms”), the Referee will receive a special offer as outlined below. 

By participating in the Referral Program, you accept these Referral Terms. Seeking Alpha may suspend or terminate the Referral Program and/or modify any of these Referral Terms at any time and for any reason without prior notice at its absolute discretion. 

Except as specifically provided herein, Seeking Alpha's Referral Program remains subject to its Terms of Use and Privacy Policy.

Eligibility

• To be eligible to participate in the Referral Program as a Referrer, you must have an active, fully paid Pro or Premium subscription to Seeking Alpha.

• To be eligible to participate in the Referral Program as a Referee, you must not be a past or current subscriber to any paid Seeking Alpha product, service, or subscription plan.

• Referrers and Referees must be over 18 years of age. 

• The Referrer and Referee may not be the same person.

How the Referral Program Works

• Each Referrer can obtain a personal Referral Link from their account settings page to share with friends and acquaintances.

• Referees who successfully sign up and purchase a Seeking Alpha Premium subscription through a valid Referral Link will receive a 14-day free trial and a one-time US $25 discount on their initial subscription period (the “Discount”).  

• Only referrals registered using a valid Referral Link are eligible for Referral Discounts.

• Referral Discounts are non-exchangeable, non-transferable, and may not be converted into cash, gift cards or any other cash equivalent. 

• Referral Links are exclusive and cannot be combined with any other promotional offers. 

Conduct

• Referrers and Referees shall comply with any and all applicable laws and regulations, including anti-spam laws, and shall confirm and comply with Seeking Alpha’s Terms of Use and Privacy Policy.

• Any distribution of Referral Links that can constitute unsolicited commercial email or “spam” under any applicable law or regulation is expressly prohibited. By sending any communications in relation to the Referral Program, Referrers represent they have obtained appropriate permission and consent to send the communications to the recipients they select. 

• Each participant in this Referral Program agrees to defend, indemnify, and hold harmless Seeking Alpha, its affiliates, and their respective employees, contractors, agents, shareholders, members, officers, and/or directors from any and all liabilities, claims, and expenses (including actual attorneys' fees and costs) arising from, or related to the participant’s breach of any of these Referral Terms and/or any violation of all applicable laws and regulations. 

Miscellaneous

• Each participant is alone responsible for paying any and all applicable taxes with respect to any consideration or value provided to such participant in connection with their participation in the Referral Program. 

• Seeking Alpha shall have no liability or responsibility for referrals unsuccessfully submitted or completed in accordance with these Referral Terms due to a fault or failure of technology of any kind whatsoever. 

• Seeking Alpha reserves the right, at its sole discretion, to exclude any individual from participating in any aspect of the Referral Program with immediate effect and without prior notice, in its sole discretion, if Seeking Alpha deems or reasonably suspects any individual, directly or indirectly, has violated these Referral Terms and/or Seeking Alpha’s Terms of Use, Privacy Policy and/or any applicable laws and regulations. 

• If there is any contradiction or other discrepancy between these Referral Terms and Seeking Alpha's Terms of Use, then Seeking Alpha's Terms of Use governs.
